THECITYCOUNCILOFTHECITYOFMEDINADOESORDAINASFOLLOWSSectionFIPurDoseThisfranchiseshallconstituteanagreementbetweentheCityofMedinahereinaftertheCityandTCICablevisionofWashingtonInchereinaftertheOperatorTheOperatorpromisestoconstructmaintainandoperateacabletelevisionsystemforthedistributionoftelevisionandotherelectronicsignalspursuanttothetermsofthisfranchiseTheCityagreestogranttheOperatorallnecessaryrightsandprivilegestousepublicrightsofwaynecessaryforacabletelevisionsystemThisagreementshallasofitseffectivedateifpreviouslyacceptedbytheOperatorsupersedeandreplaceallexistingfranchisespreviouslygrantedbytheCityofMedinatotheOperatororanyofitspredecessorssubsidiariesoraffiliatedcompaniesSectionF2LengthofFranchiseThelengthofthisfranchiseshallbeforatermoffifteen15yearsfromAugust11991throughmidnightJuz312006SectionF3ServiceAreaTheOperatorsserviceareashallbetheentireincorporatedareaoftheCityofMedinainitspresentincorporatedformorinanylaterreorganizedconsolidatedenlargedorreincorporatedformSectionF4FranchiseFeeTheOperatorshallpaytotheCityquarterlyonorbeforethefifteenth15thdayofeachFebruaryMayAugustandNovemberasumequaltothreeandonehalfpercent35orgreaterofgrossrevenuesperannumasdefinedinOrdinance526TheCitymayraisethefranchisefeeifsopermittedbyFederalandStatelawtosevenpercent7ofgrossrevenuesasdefinedPriortoimplementationofanyincreaseinfranchisefeestheOperatormayrequestandwillbegrantedapublichearingbytheCityCounciltodiscussthebenefitsofsaidincreasetothecitizensofI42491 MedinaUponafindingoftheCityCouncilthatsuchincreaseisreasonablyrequiredtomeetcommunityneedstakingintoconsiderationthecoatofprovidingsuchincreasetheCityCouncilmayrequiretheimplementationofsuchincreaseinaccordwiththeprovisionsofthisagreementIncreasesbeyondthisamountshallbethesubjectofnegotiationswiththeOperatoraLatePaymentAnyquarterlyfranchisefeenotpaidbytheOperatorwithinfortyfive45daysoftheendofaquartershallbearintereatattherateoftwelvepercent12orwhatevermaximumamountisallowedunderatatelawwhicheverisgreaterfromtheduedateuntilpaidbFinancialReportsEachfranchisefeepaymentshallbeaccompaniedbyafinancialreportonaformprovidedbytheCityshowingthebasisfortheOperatorscomputationseparatelyindicatingrevenuesreceivedbytheOperatorwithintheCityfrombasicservicepayFVserviceotherapplicablesourcesofrevenueandsuchotherinformationdirectlyrelatedtoconfirmingtheamountoftheOperatorsgrossrevenuesasmaybereasonablyrequiredbytheCitycAuditbyCItyTheCityshallhavethefightuponreasonableadvancenoticetoinspectthebooksandrecordsoftheOperatordudngnormalbusinesshoursforthepurposeofascertainingtheactualgrossrevenuescollectedbytheOperatorIntheeventthatsuchauditdisclosesadiscrepancyofmorethantenpercent10betweenthefinandalreportsubmittedbytheOperatorwithaquarterlypaymentandtheactualgrossrevenuescollectedbytheOperatortheOperatoragreestopaytotheCitythecostsofsuchauditIntheeventthatsuchauditresultsinadeterminationthatadditionalfranchisefeesareduetheCitytheOperatorfurtheragreestopayinterestasrequiredforlatepaymentonsuchadditionalfranchisefeescomputedfromthedateonwhichsuchadditionalfranchisefeesweredueandpayable242491 dNonwaiverAcceptanceofanyfranchisefeepaymentbytheCityshallnotbeconstruedasanagreementbytheCitythatthefranchisefeepaidisinfactthecorrectamountnorshallacceptanceofpaymentbytheCitybeconstruedasareleaseorwaiverofanyclaimtheCitymayhaveforfurtheroradditionalsumspayableundertheprovisionsofthisOrdinanceeTaxesNothinginthisSectionshalllimittheOperatorsobligationtopayapplicablelocalstateorfederaltaxesSectionFSCommunityAccessTheCityshallhaveaccesstotheappropriatechannelsforcommunitybulletinboardinformationSuchdatawillbepresentedtotheentityprogramingtheaccesschannelsduringnormalworkjnghoursforbroadcastwhenappropriateInadditiontheOperatorshallmakeavailabletotheCitysuchfacilitiesasitnowhasorlateracquiresfortheproductionanddistributionofPublicEducationalandGovernmentinformationoncommunityaccesschannelsTheOperatorshallnotberequiredtoprovideaccessfacilitiesSolelyfortheuseoftheCityifithasexistingfacilitieswhichareavailableonareasonablebasisfortheCitysuseSectionF6FutureProvisionsTheCityandtheOperatoracknowledgethattheformershouldbeprovidedwithacablesystemthathasthesamegeneralcapabilitiesandcapacityasthoseprovidedothercitiesservedbytheOperatorintheKingPiemeSnohomishCountyareaoftheStateofWashingtonTheCitymayatitsdiscretionrequirethattheOperatorprovidesuchinteractiveservicesasaddressabilitysecuritycomputerinteractionbankingshoppingaswellasHighDefinitionTelevisionHDTVandothersuchfeaturesontheoccurrenceofoneormoreofthefollowingeventsitheOperatorprovidingsuchservicestoitsSeattlesysteminwhichcasetheOperatorshallprovidesuchservicestothefranchisingauthoritywithintwentyfour24monthsofcompletionoftheSeattle342491 upgradeoriifieOperatorprovidingsuchservicesinanycityphysicallyadjacenttotheCityinwhichcasetheOperatorshallprovidesuchservicestotheCitywithintwentyfour24monthsofthecompletionoftheupgradeintheadjacentcityoriiiupontheshowingfiat40ofthecitiesintheKingPierceSnohomishCountyareaoftheStateofWashingtonhavebeenprovidedsuchserviceinwhichcasetheOperatorshallalsofurnishsuchfeaturesintheCitywithintwentyfour24monthsSimilarlytheOperatorshallupgradethecablesystemto450MHzcapableofcarolingapproximatelyfiftyfour54channelsbaseduponthesameconditionsaboveUpgradestohighercapabilitythanfiftyfour54channelswillsimilarlybetriggeredbytheseeventsPriortoimplementationofanysuchservicetheOperatormayrequestandmustbegrantedapublicheadrigbytheCityCounciltodiscussthebenefitsofsaidfeaturestothecitizensofMedinaUponafindingoftheCityCouncilthatsuchfeaturesarereasonablyrequiredtomeetcommunityneedstakingintoconsiderationthecostofprovidingsuchservicestheCityCouncilmayrequiretheimplementationofsuchfeaturesinaccordwiththeprovisionsofthisagreementSectionF7UDqradeConstructionPenaltiesShouldtheOperatorfailtomeettheprovisionsofSectionF6abovetheCityshallhavetherighttorequiretheOperatortoappearatapublicmeetingandexplainwhytheprovisionsofSectionF6havenotbeenmetIftheOperatorcandemonstratethatfailuretomeettheprovisionsofSectionF6isduetoActsofGodforcemajeureDrcircumstancesreasonablybeyondOperatorscontrolthentheCityshallgrantreasonableextensionsofdeadlinescontainedinSectionF6ShouldtheOperatorfailt0providesuchjustificationstotheCitythentheCitymayfinetheOperatorinanamountofuptotwohundreddollars20000perdayuntiltheprovisionsofSectionF6arecompletedandshouldsuchdelayexceedthirtydaysthenfollowingthethirtiethdaysaidfinesmaybeincreasedtofivehundreddollars50000perday442491 SectionFBCoverageTheCityofMedinashallbeprovidedwithcabletelevisionseryiceintheentirefranchiseareaffsuchaconditiondoesnotnowexistanoperatorshallompletesuchwiringandbeinapositiontooffercablereceptiontoallresidentswithinsix6monthsfromthegrantofthefranchiseAreassubsequentlyannexedshallbeprovidedwithcableavailabilitywithineighteen18monthssubjecttothetermsinSectionF9LineExtensionSectionFgLIneFtenslonPolicyOperatoragreestoprovidecablecommunicationsservicetoallareasannexedtotheCityaftertheeffectivedateoftheFranchisesubjecttotheconditionthatthereareatleastthirtyfive35dwellingunitsperstreetmileoronesuchunitwithinonehundredfifty150feetofOperatorsdistributionsystemasmeasuredfromexistingsystemorsuchratiothereofIntheeventrequestismadeforservicebyaresidentlivinginanareanotmeetingsuchcdtedatheOperatorshallmakesuchinstallationavailabletotherequestingsubscriberonatimeandmaterialcostbasisNofeesshallbechargedinadditiontotheoperatorsstandardinstallationfeeunlesstheresidencetobeservedismorethatonehundredfiftyfeatfromthenearestpointofaccessfromapublicroadorprivatelaneprovidedlegaleasementsaresograntedSectionFIOPublicBuildingsOperatorshallprovidewithoutchargeforinstallationbasicserviceoutletandconverteratsuchpublicbuildingsthatnowexistorthatmaybeconstructedduringtheperiodofthefranchiseprovidedsuchdropsarewithin150feetoftheexistingfeederlineHoweverinsuchcasestheOperatorandtheCitymaysharesuchadditionalcostsinvolvedinexcessofnormalinstallationcostsonamutuallyagreeduponcasebycasebasis542491 SectionFllDiscountsTheOperatorshallofferadiscounttothoseindividualspermanentlydisabledorsixtyfive65yearsorolderwhoarethelegalownerorlesseetenantoftheirresidenceprovidedthattheircombineddisposableincomefromallsourcesdoesnotexceedtheFederalpovertylevelforthecurrentandprecedingcalendaryearSuchdiscountswillconsistofthirtypercent30offthenormalchargeforbasicresidentialservicesTheCityofMedinaoritsdesigneeshallberesponsibleforcertifyingthatsuchapplicantsconformtothespecifiedcriteriaasoutlinedbyWashingtonstatelawSectionF12CustomerServiceATheOperatorshallrenderrepairservicetorestorethequalityofthesignalatapproximatelythesamestandardsexistingpriortothefailureordamageoftheomponentcausingthefailureandmakerepairspromptlyandinterruptserviceonlyforgoodcauseandfortheshortesttimepossibleSuchinterruptionsinsofaraspossibleshallbeprecededbynoticeandshalloccurduringaperiodofminimumuseofthesystemAlogshallbemaintainedforapedodofoneyearforallserviceinterruptionswhichcanbeinspecteduponnoticeTheOperatorshallprovideanadequatenumberoftidephonelinestelephoneinstrumentsandtrainedpersonneltoinsureagainstunduedelayinansweringconsumerrequestsBAnemployeeoftheOperatorshallanswerandrespondtoallindividualcomplaintsreceivedpdorto500pmweekdaysTheOperatormayuseanansweringservicetoreceivecomplaintsafter500pmweekdaysandonweekendsandholidaysAstandbytechnicianshallcheckwiththeansweringserviceuntil900pmonweekdaysanduntil500pmonweekendsandholidaysandwillrespondtoanysystemoutageaffectingmorethanfivesubscribersCTheOperatorshallinstructitsansweringservicetonotifyastandbytechnicianduringtheweekendoronaholidayifitreceivescallsindicatinganoutageaffecting642491 morethanfivesubscribersDTheOperatorwillmaintainasufficientrepairforcetorespondtoindividualrequestsforrepairservicewithinfortyeight48hoursafterreceiptofthecomplaintorrequestexceptSaturdaySundayandlegalholidaysAllcomplaintsshallberesolvedwithinseven7daystotheextentreasonableIfasubscriberhasnotifiedtheOperatorofanoutagenochargefortheperiodoftheoutageshallbemadetothesubscriberifthesubscriberwaswithoutserviceforaperiodexceedingtwentyfour24hoursunlesstheoutagewasduetoActsofGodSuchrefundswillbeeffectuatedbytheOperatoruponrequestbythesubscriberEAstandbytechnicianshallbeoncallseven7daysaweektheOperatorshallrespondimmediatelytoservicecomplaintsinvolvingasystemoutageaffectingmorethanfivesubscribereForpurposesofthissectionasystemoutageshallmeanasubscriberiswithoutallservicesFTheOperatorshallsupplyatthetimeofanewconnectionandperiodicallyatleastonceayearthetitleaddressandtelephonenumberoftheMedinaCityofficialorhisherdesigneetowhomsystemsubscribersmaydirecttheirconcernsGAllsubscribersandmembersofthegeneralpublicmaydirectcommentsregardingtheCompanysserviceorperformancetotheCityoritsdesigneeSectionF13IndependentContractorsThisagreementdoesnotconstitutetheOperatortheagentorlegalrepresentativeoftheCityforanypurposewhatsoeverTheOperatorisnotgrantedanyexpressorimpliedrightorauthoritytoassumeorcreateanyobligationorresponsibilityonbehalfoforinthenameoftheCityortobindtheCityinanymannerorthingwhatsoeverSectlonF14EntireAgreementThisagreementincludingtheexhibitsattachedheretoandformingaparthereofifanyalongwithOrdinanceNo538areallofthecovenantspromisesagreements742491
